This Public Offer and License Terms document (“Terms”) governs the purchase, licensing, download, activation, and use of Vibeocus, a local-first desktop application for project management, AI-agent context, MCP workflows, Markdown vaults, tasks, documents, secrets, Freeform boards, Git activity, widgets, and mobile companion access.
These Terms are offered by Individual Entrepreneur Gaukhar Muldagaliyeva, based in Almaty, Kazakhstan (“Vibeocus”, “we”, “us”, or “our”).
By purchasing, downloading, activating, or using Vibeocus, you (“Customer”, “you”, or “user”) accept these Terms.
If you do not agree with these Terms, do not purchase, activate, or use Vibeocus.

Vibeocus may be developed, maintained, and supported by authorized developers, contractors, or service providers acting on behalf of the commercial operator.
2. Product
Vibeocus is a local-first software product designed to help users organize and manage AI-built or AI-assisted projects.
Vibeocus may include, depending on the version and license plan:
- macOS desktop application;
- mobile companion app;
- project dashboard;
- tasks and Kanban boards;
- project rules;
- Markdown vaults and notes;
- documents and project files;
- local secrets and Vault items;
- Freeform boards;
- relations graph;
- Git metadata and activity;
- widgets;
- optional iCloud sync;
- MCP tools and agent skills.
Vibeocus is designed to store workspace data locally on your device unless you choose to sync, export, expose, or share that data.
3. Public offer acceptance
These Terms constitute a public commercial offer to purchase and use Vibeocus under the conditions described here and in the applicable checkout page.
You accept this offer when you:
- complete a purchase;
- activate a license key;
- download or install Vibeocus;
- use Vibeocus;
- renew a subscription;
- use the customer portal;
- or otherwise access paid Vibeocus functionality.
The checkout page, receipt, product page, license email, or customer portal may include plan-specific terms. If plan-specific terms differ from these Terms, the plan-specific terms apply only to that specific purchase or plan.
4. Payment provider and Merchant of Record
Purchases, payment processing, checkout, invoices, taxes, refunds, chargebacks, customer portal access, and billing management may be handled by a payment provider or Merchant of Record.
Where a payment provider acts as Merchant of Record, the customer purchases through that provider’s checkout and the provider handles payment-related obligations such as payment processing, tax collection, refunds, chargebacks, and PCI-related payment compliance.
Vibeocus does not store full payment card details.
Your use of checkout, customer portal, payment processing, invoices, and billing records may also be governed by the payment provider’s own terms and privacy policy.
5. License
After successful payment and fraud checks, you receive a limited, non-exclusive, non-transferable, revocable software license to install and use Vibeocus according to the purchased plan.
Unless the checkout page states otherwise, the standard Vibeocus license is $49.99 per year, includes activation on up to 2 Mac computers, and includes access to 1 iPhone companion app, where available.
The license is granted for use by the buyer or by the buyer’s organization, depending on the checkout plan.
Unless a team, business, or multi-seat plan states otherwise, one license is intended for one user and the devices controlled by that user.
You may not share one personal license between multiple unrelated users.
6. Device activations
If you replace a device, you may need to deactivate the old device before activating the new one. If self-service activation management is not available, contact support at support@vibeocus.com.
Vibeocus may use license activation limits to control how many devices can use one license. Unless your plan says otherwise:
- one license may be activated on up to 2 Mac computers;
- one license may be connected with 1 iPhone companion app, where available;
- additional devices may require an additional license, plan upgrade, or manual activation reset.
Vibeocus may validate license status online from time to time. If a license is expired, cancelled, refunded, disabled, or invalid, paid features may stop working.
7. License term and renewal
Unless the checkout page states otherwise, Vibeocus is sold as an annual license or annual subscription.
If your purchase is configured as a recurring subscription, it may renew automatically each year unless you cancel before the renewal date through the payment provider’s customer portal or another supported cancellation method.
If your purchase is configured as a fixed-term non-renewing license, the license will expire at the end of the stated license period unless you purchase a renewal.
Your receipt, checkout page, or customer portal will show the applicable billing and renewal terms.
If your license expires, is cancelled, refunded, disabled, or not renewed, you may lose access to paid features, updates, license validation, support, MCP features, mobile companion features, or other licensed functionality.
Expiration or cancellation of a license does not automatically delete local workspace data stored on your own devices.
8. Delivery
Delivery may be delayed if the payment provider flags the order for fraud review, payment verification, chargeback risk, sanctions screening, or other compliance checks.
Vibeocus is delivered digitally. After successful payment and fraud checks, you may receive one or more of the following:
- download access;
- license key;
- license email;
- customer portal access;
- activation instructions;
- installation instructions;
- update access.
9. Updates and support period
An active paid license may include access to updates, improvements, bug fixes, and compatibility updates during the active license period.
We may release updates at our discretion. We do not guarantee that every feature request, bug report, integration, MCP client, operating system version, mobile feature, widget, or third-party tool will be supported.
Major new products, team plans, cloud services, advanced license management, paid add-ons, or separate platforms may be sold separately.
Support is provided through the official support channel listed on the website or customer portal. Response times may vary and are not guaranteed unless a specific plan says otherwise.
10. Early access and beta features
You use early access and beta features at your own risk.
Some Vibeocus features may be released as early access, beta, preview, experimental, or in-progress functionality. Early access and beta features may:
- contain bugs;
- change without notice;
- be removed;
- be limited to specific platforms;
- be incompatible with some devices or workflows;
- behave differently from the final version;
- require manual setup;
- require compatible third-party tools.
11. Local-first data and backups
Vibeocus is designed as a local-first application. Your project workspace data is primarily stored on your own devices unless you choose to sync, export, expose, or share it.
You are responsible for:
- backing up your local workspace data;
- securing your devices;
- protecting your Apple Account and iCloud settings;
- managing project files and folders;
- deciding what data to store inside Vibeocus;
- deciding what data to expose to MCP tools, agents, or third-party services.
Vibeocus is not a backup service. We do not guarantee recovery of local data, project files, documents, secrets, Git metadata, notes, tasks, Freeform boards, or other workspace content.
12. Optional iCloud sync
Vibeocus may offer optional iCloud sync or snapshot sync so selected app data can be available across your devices or read by the mobile companion app.
iCloud sync uses your own Apple iCloud account. Apple controls iCloud infrastructure, Apple Account security, iCloud storage, iCloud recovery, and iCloud availability.
We do not control Apple’s services, iCloud outages, Apple Account settings, iCloud encryption settings, device sync behavior, or Apple’s handling of iCloud data.
If you disable iCloud sync, data already stored in iCloud may not be automatically deleted. You may need to manage or delete it through Vibeocus, your device settings, or Apple iCloud settings.
13. Secrets and sensitive data
Vibeocus may allow you to store secrets, credentials, API keys, tokens, environment values, or other sensitive data locally.
Secrets may become accessible outside your device if you:
- sync selected data through iCloud;
- expose a secret through MCP;
- connect an agent or external tool that can access that secret;
- export data;
- share logs, screenshots, documents, or support messages containing secrets.
You are responsible for deciding what sensitive data to store, sync, export, or expose.
You should not send passwords, private credentials, API keys, or other sensitive secrets to support unless specifically required and you understand the risk.
14. MCP tools and AI agents
Vibeocus may provide MCP tools, agent skills, or related integrations that allow compatible agents or AI coding tools to interact with selected local project context.
Depending on your configuration, MCP tools may allow agents to:
- read active project information;
- read project rules;
- inspect selected documents, notes, tasks, relations, commits, Vault items, and recent activity;
- create tasks;
- create or update Freeform boards;
- access selected secrets if you explicitly allow it.
- Vibeocus is not responsible for incorrect agent output, broken code generated by agents, accidental exposure of project context, third-party AI provider behavior, MCP client behavior, misuse of secrets by tools you connect, deployment errors, or business losses caused by agent actions.
You are responsible for choosing which agents, MCP clients, AI tools, developer tools, and third-party services can connect to Vibeocus.
You are responsible for reviewing agent output before applying it to your project, codebase, deployment, production system, customers, or business.
Always review AI-generated code, commands, tasks, architecture, documents, and changes before using them.
15. Third-party services
Third-party services are governed by their own terms and privacy policies. We do not control third-party services and are not responsible for their availability, security, reliability, data processing, pricing, or behavior.
Vibeocus may integrate with or interact with third-party services, including:
- payment and licensing providers;
- Apple iCloud;
- Git tools;
- MCP clients;
- AI coding agents;
- AI model providers;
- developer tools;
- operating system services;
- hosting providers;
- email/support tools.
16. User responsibilities
You agree to use Vibeocus lawfully and responsibly. You are responsible for:
- complying with applicable laws;
- maintaining your own backups;
- protecting your devices and accounts;
- securing your Apple Account and iCloud access;
- managing your license key;
- not sharing your personal license with unauthorized users;
- reviewing AI-agent output;
- protecting secrets and credentials;
- ensuring that project data you store or expose is lawful;
- ensuring you have the right to store, process, sync, or expose any documents, code, files, or credentials you add to Vibeocus.
17. Restrictions
You may not:
- copy, resell, rent, lease, sublicense, or redistribute Vibeocus;
- share a personal license with unauthorized users;
- bypass, disable, tamper with, or abuse license validation;
- use stolen, leaked, refunded, disabled, or unauthorized license keys;
- reverse engineer, decompile, or attempt to extract source code except where allowed by law;
- use Vibeocus to violate laws or third-party rights;
- use Vibeocus to store or process data you do not have the right to use;
- abuse support, licensing, refunds, chargebacks, or payment systems;
- attempt to interfere with Vibeocus, the website, licensing systems, or payment provider systems.
18. Intellectual property
Vibeocus, including the software, interface, design, branding, website, documentation, icons, trademarks, text, workflows, and related materials, is owned by us or our licensors and is protected by applicable intellectual property laws.
Purchasing a license does not transfer ownership of Vibeocus to you. You receive only the limited right to use Vibeocus according to these Terms and your purchased plan.
You retain ownership of your own project files, documents, notes, code, tasks, secrets, and workspace content.
If you provide feedback, suggestions, bug reports, ideas, or feature requests, you allow us to use that feedback to improve Vibeocus without owing compensation, royalties, or attribution, unless separately agreed in writing.
19. Third-Party Software and Open Source Notices
Vibeocus may include or depend on third-party software, open-source libraries, frameworks, packages, tools, or other components.
Third-party components are licensed under their own license terms. Those third-party licenses apply only to the corresponding third-party components and do not change the license terms for Vibeocus itself.
A list of third-party open-source components and their applicable licenses may be provided on the Vibeocus website, inside the application, or in a separate notice file included with the application.
Vibeocus respects open-source license obligations. To the extent required by applicable open-source licenses, we provide copyright notices, license texts, attribution notices, and other required notices for third-party components.
Nothing in these Terms limits any rights you may have under the open-source licenses applicable to third-party components.

20. Refund policy
Unless the checkout page states otherwise, Vibeocus offers a 14-day refund period for the initial purchase.
Refunds may be denied where:
- the refund request is made after the refund period;
- the license has been abused, shared, resold, or used fraudulently;
- the purchase was made with fraudulent payment information;
- the request relates to unsupported third-party tools, AI agents, or services outside our control;
- the issue can reasonably be resolved through support;
- the refund is prohibited or restricted by the payment provider or applicable law.
You may request a refund within 14 days after purchase by contacting support@vibeocus.com or using the payment provider’s supported refund process.
If a refund is issued, the related license may be disabled and access to paid features may be revoked.
Renewal refunds may be handled case by case. To avoid renewal charges, cancel your subscription before the renewal date through the customer portal or supported cancellation method.
The payment provider may process, approve, deny, or issue refunds according to its own rules, risk controls, chargeback prevention requirements, and applicable law.
Nothing in this section limits mandatory consumer rights that cannot be waived under applicable law.
21. Cancellation
If your license is a recurring subscription, you may cancel renewal through the payment provider’s customer portal or another supported cancellation method.
Cancellation stops future renewals but does not automatically refund past payments.
After cancellation, your license may remain active until the end of the paid license period unless the payment provider, checkout terms, or refund process states otherwise.
If your license expires or is cancelled, local workspace data stored on your device is not automatically deleted.
22. Taxes
Prices may include or exclude taxes depending on your location, checkout settings, and payment provider.
The payment provider or Merchant of Record may calculate, collect, report, and remit applicable sales tax, VAT, GST, or similar taxes.
You are responsible for providing accurate billing and tax information during checkout.
23. Availability and changes
We may modify, update, suspend, or discontinue Vibeocus, features, integrations, website pages, documentation, licensing methods, pricing, or support options at any time.
We will make reasonable efforts not to remove core paid functionality during an active license period without a replacement or explanation, but we do not guarantee that all features will remain unchanged forever.
Some features may depend on third-party services, operating system support, Apple platform changes, MCP ecosystem changes, AI tool compatibility, or payment provider availability.
24. No warranty
Vibeocus is provided on an “as is” and “as available” basis.
We do not guarantee that Vibeocus will:
- prevent data loss;
- prevent security incidents;
- prevent agent mistakes;
- prevent deployment errors;
- generate correct AI output;
- always sync correctly;
- always validate licenses without interruption;
- work with every MCP client or AI tool;
- work with every Git repository, project structure, file, document, or device.
To the maximum extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, uninterrupted operation, error-free operation, data recovery, security, or compatibility with every workflow, tool, operating system, agent, or third-party service.
25. Limitation of liability
To the maximum extent permitted by law, Vibeocus and its operator will not be liable for indirect, incidental, special, consequential, punitive, or exemplary damages, including loss of profits, loss of revenue, loss of business, loss of data, loss of goodwill, project failure, deployment failure, security incidents, agent mistakes, or interruption of work.
To the maximum extent permitted by law, our total liability for any claim related to Vibeocus is limited to the amount you paid for Vibeocus during the 12 months before the event giving rise to the claim.
Some jurisdictions do not allow certain liability limitations. In those cases, the limitations apply only to the extent permitted by law.
26. Indemnification
You agree to defend, indemnify, and hold harmless Vibeocus, its operator, developers, contractors, and service providers from claims, damages, losses, liabilities, costs, and expenses arising from:
- your misuse of Vibeocus;
- your violation of these Terms;
- your violation of applicable law;
- your project content;
- your use of third-party agents or AI tools;
- your exposure of secrets, documents, credentials, or project data;
- your infringement of third-party rights.
27. Consumer rights
Nothing in these Terms limits rights that you may have under mandatory consumer protection laws that cannot be waived by contract.
If you are a consumer in a jurisdiction that gives you mandatory rights, those rights remain available to you.
28. Governing law
These Terms are governed by the laws of the Republic of Kazakhstan, without regard to conflict of law rules, unless mandatory consumer protection laws in your country require otherwise.
If any provision of these Terms is invalid or unenforceable, the remaining provisions remain in effect.
29. Changes to these Terms
We may update these Terms from time to time.
When we make material changes, we will update the “Last updated” date and may notify users through the website, app, email, or other reasonable means.
Your continued use of Vibeocus after updated Terms become effective means you accept the updated Terms.
